Synaptics' 0.75% Convertible Senior Subordinated Notes are Convertible During the First Calendar Quarter of 2014

SAN JOSE, Calif.--(BUSINESS WIRE)-- Synaptics Incorporated (SYNA), a leader in human interface solutions, today announced, as required by the notice provisions of the Indenture related to its 0.75% Convertible Senior Subordinated Notes due 2024 (the "Notes"), that the Notes are convertible during the first calendar quarter of 2014.

As of December 31, 2013, the sale price of Synaptics' common stock exceeded the conversion trigger price per share as set forth in the Indenture for at least 20 trading days in a period of 30 consecutive trading days ending on the last trading day of such calendar quarter. Based on this condition, the Indenture provides that the Notes are convertible during the subsequent calendar quarter, which commences on January 1, 2014. The holders of the Notes that wish to exercise their option to convert their Notes must follow the instructions and other conditions set forth in the Notes and the Indenture. Such right to convert based on the sale price of Synaptics' common stock may be extended, extinguished or reinstated in subsequent calendar quarters depending on the sale price of Synaptics' common stock during the 30 consecutive trading days ending on the last trading day of the preceding calendar quarter.
